Where Are the Responsibility Boundaries Between OEM and ODM?

The core difference between OEM and ODM lies in "design responsibility." In ODM, the factory proposes the design, prototyping, and mass production plan, with the buyer mainly selecting and fine-tuning. In OEM, the buyer provides complete specifications and the factory manufactures according to the drawings. For lock buyers, putting the responsibility boundaries in the contract upfront is the only way to avoid specification disputes, unclear certification ownership, and delivery delays after mass production.

ODM Model: Factory Bears Design and Verification Responsibility

In the ODM model, the factory is responsible for the overall design proposal—from appearance and structure to electronic firmware—and completes prototyping and functional testing. The buyer provides market positioning, application scenarios, and brand requirements, such as wanting a TSA padlock, Bluetooth cabinet lock, or RFID identity verification lock, and the factory then proposes a DFM design evaluation. The advantage is that the buyer invests fewer engineering resources; the disadvantage is that if core structure modifications are needed later, it affects tooling and certifications, and the factory typically reflects the cost through change fees.
